We are looking for an experienced and highly skilled attorney to serve as our Senior Corporate Counsel - Commercial Transactions for our Northeast Business Unit. This role will serve as the primary general counsel for all legal issues for the Northeast Business Unit; responsible for providing legal advice and support on a variety of corporate legal matters, including mergers and acquisitions, joint ventures, financings, litigation, intellectual property, and general corporate matters. In this role, you will report directly to the Chief Legal Officer, be a member of the Legal Leadership Team, and work directly with business leaders across the Northeast.
**Where you'll be planted:** The ideal candidate will be located within the Northeast region. This role will work primarily remote, with the ability to travel to our various Northeast locations (New Jersey, Maryland, Pennsylvania) up to 20% of the time as needed. To be blunt, this role is about:
  • Serving as the primary general counsel to the company's Northeast Business Unit.
  • Proactively identifying, assessing, and managing legal risks associated with the Northeast's business activities.
  • Negotiating and drafting a variety of complex commercial agreements, including partnerships, joint ventures, licensing, supply, and service agreements.
  • Overseeing the work of outside counsel and provide strategic direction on litigation matters.
  • Advising on a broad range of legal issues impacting the company, including corporate governance, securities laws, regulatory compliance, commercial contracts, intellectual property, employment law, and data privacy.
  • Assisting with the development and implementation of policies and procedures for continuous improvement and efficiencies designed to ensure compliance with applicable laws and regulations.
  • Staying abreast of legal developments that could impact the company's business, and proactively recommend changes to company policies and procedures as needed.
  • Assisting with expansion of internal controls in compliance with Sarbanes-Oxley.
  • Performing other duties as assigned.

Role purpose:
